1. Agreement
By using Overlay Mapping ("the Service"), you agree to these Terms. The Service is operated by lower.technology ("we", "us", "our"). If you do not agree to these Terms, do not use the Service.
2. The Service
Overlay Mapping lets you upload venue maps, align them to satellite imagery, add points of interest, and share interactive versions with live GPS. Features, pricing, and functionality may change over time.
3. Your account
You must be at least 18 years old to create an account. You're responsible for maintaining the confidentiality of your login credentials and for all activity under your account. One account per person; accounts are not transferable without our written consent.
4. Acceptable use
You agree not to:
- Upload content you don't have the right to share, or that is illegal, defamatory, or infringing
- Use the Service to harass, deceive, or harm others
- Attempt to bypass upload limits, authentication, or security measures
- Reverse engineer, scrape, or resell the Service without our permission
- Interfere with the operation of the Service or other users' use of it
We may suspend or terminate accounts that violate these rules.
5. Your content
You retain all rights to the maps and content you upload. By using the Service, you grant us a limited, non-exclusive, worldwide license to host, process, reproduce, and display your content solely to operate the Service for you and the audience you share it with. This license ends when you delete your content or close your account, except to the extent the content is necessarily embedded in backups or logs that are eventually cycled out.
You are responsible for ensuring you have the rights to upload and publish your content, and that your content complies with applicable law.
6. Fees and billing
Per-map credits. Emebed credits are one-time purchases. A credit is consumed when you unlock the embed functionality on a map on the settings page. Prices are listed on overlaymaps.net and are subject to change.
Refunds. Upload credits are non-refundable once consumed. Subscription payments are non-refundable after the billing period begins. If something is broken on our end, contact us and we'll make it right.
Taxes. You are responsible for any applicable taxes.
7. Service availability
We work to keep the Service running, but we do not guarantee uninterrupted availability. The Service is provided "as is" and "as available." We may perform maintenance, apply updates, or make changes that cause temporary interruptions.
8. GPS accuracy
The "you are here" feature uses your device's GPS and is only as accurate as the device's signal and the care taken when aligning the map. It is intended for general visitor orientation and should not be relied on for navigation in safety-critical situations, including emergency response or medical use.
9. Disclaimer of warranties
To the maximum extent permitted by law, the Service is provided without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that defects will be corrected.
10. Limitation of liability
To the maximum extent permitted by law, our total liability to you for any claim arising from or related to the Service is limited to the amount you paid us in the twelve months preceding the claim. We are not liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits, lost revenue, or lost data.
11. Indemnification
You agree to defend, indemnify, and hold us harmless from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your content, or your violation of these Terms.
12. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if we need to discontinue the Service. Upon termination, your access ends and we may delete your content after a reasonable grace period. Sections that by their nature should survive termination (including sections 5, 9, 10, 11, and 14) will survive.
13. Changes to these Terms
We may update these Terms from time to time. We will provide at least 30 days' notice of material changes by email or a notice on overlaymaps.net. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
14. Governing law
These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any dispute arising under these Terms will be resolved exclusively in the state or federal courts located in California, and you consent to personal jurisdiction in those courts.
15. Entire agreement
These Terms, along with our Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede any prior agreements on the same subject.
